Accredited Investor Information

As defined under SEC Rule 501, Regulation D

What Is an Accredited Investor?

An "accredited investor" is an individual or entity that meets certain financial criteria established by the U.S. Securities and Exchange Commission (SEC). These standards are designed to ensure that investors in private offerings have sufficient financial sophistication and can bear the risk of such investments.

Individual Accreditation Requirements

An individual qualifies as an accredited investor if they meet any one of the following criteria:

  • Income Test: Annual income exceeding $200,000 (or $300,000 combined with a spouse) in each of the two most recent years, with a reasonable expectation of the same income level in the current year.
  • Net Worth Test: Net worth exceeding $1,000,000, either individually or jointly with a spouse, excluding the value of the primary residence.
  • Professional Credential: Holds a Series 7, Series 65, or Series 82 license in good standing.
  • Knowledgeable Employee: Is a "knowledgeable employee" of a private fund in which they are investing.

Entity Accreditation Requirements

An entity qualifies as an accredited investor if it meets any of the following:

  • A bank, insurance company, registered investment company, business development company, or small business investment company.
  • An employee benefit plan with total assets exceeding $5,000,000.
  • A charitable organization, corporation, or partnership with assets exceeding $5,000,000, not formed for the purpose of making the investment.
  • A trust with assets exceeding $5,000,000.
  • An entity in which all equity owners are accredited investors.
  • An entity with investments exceeding $5,000,000 (a "family office").

By restricting participation to accredited investors, we ensure compliance with federal securities laws and that our investors have the financial sophistication and capacity to understand and bear the risks associated with real estate investments.

Verification Process

As part of the investor onboarding process, RIYT will request documentation to verify your accredited investor status. This may include tax returns, W-2 forms, bank or brokerage statements, or a letter from a licensed attorney, CPA, or financial advisor.
